Our client is a European investment firm operating in the private equity sector, with a strong focus on mid-sized to large businesses across industries such as industrials, consumer goods, and sustainable services. The Luxembourg office, which hosts around fifty professionals, plays a central role in the group’s corporate governance and legal structuring. In the context of ongoing growth and reinforcement of its corporate team, the company is now seeking a Corporate Officer to support its legal and corporate governance activities for a portfolio composed of UICTS and AIFS.

Your Responsibilities | Fiduciary – Finance – Law – In House – CoSec – Corporate

• You will handle the day-to-day corporate management of a portfolio of AIFs and UCITS.
• You will prepare and coordinate board and shareholder meetings including agendas, notices, minutes and resolutions.
• You will be maintaining statutory records and ensure compliance with Luxembourg corporate law and internal governance standards.
• Support transaction closings, internal restructurings, capital increases, dividend distributions, etc.
• It will be part of your responsibility to liaise with notaries, legal advisors, auditors, and other external parties as needed.
• Collaborate closely with internal teams (legal, tax, accounting, compliance) in Luxembourg and abroad.

• As you will have high responsibilities, you have at least 5 years of experience in a similar role within a fiduciary or investment/asset management firm in Luxembourg.
• Having strong knowledge of Luxembourg corporate law and governance practices is essential to be efficient and autonomous.
• To ensure good communication with colleagues and third parties, you are fluent in English.
• To align with the current team spirit, you have a team-oriented mindset with a proactive, service-driven attitude.

• You will earn a competitive salary of up to €90,000 gross/year, depending on your technical skills and experience.
