My client is an established player in the financial services sector, active for more than two decades and recognized for its expertise in supporting corporate structures in Luxembourg. This recruitment is taking place in a context of growth and team reinforcement. The objective is to strengthen the local office with a motivated Corporate Officer who will play an active role in ensuring smooth corporate governance and regulatory compliance, while supporting the company’s long-term stability in Luxembourg.

Your Responsibilities | Legal – CoSec – Law – Regulatory – Corporate – Jurist

  • You will coordinate the incorporation of new entities, including bank account openings, drafting and signing of documentation, maintaining share registers, UBO declarations, and initial compliance checks.
  • You will manage the preparation and filing of annual accounts, ensuring timely collection of legal documents, drafting meeting materials, liaising with auditors, and completing filings with the trade register.
  • You will be responsible for organizing ad-hoc board and governance meetings, preparing board packs, drafting minutes, coordinating signatures, and ensuring proper archiving.
  • You will prepare quarterly board packs, update organizational charts, draft agendas, consolidate activity reports, and may attend meetings to provide support.
  • You may also handle extraordinary general meetings or resolutions, including convening notices, execution of signatures, updating statutory registers, and submitting filings with the trade register when required.

Profile and Career Path | Legal – CoSec – Law – Regulatory – Corporate – Jurist

  • You have at least two years of professional experience in a similar role within a fiduciary, a PFS or an AIFM in Luxembourg.
  • Fluency in English, both written and spoken is required. Any additional language is considered as an asset.
  • To be efficient and understand the position, being familiar with financial vehicles such as SPVs is essential.
  • Versatility and readiness are essential to handle a wide range of responsibilities.
