Our client is a well-established boutique business law firm in Luxembourg, built around a deliberately compact team with a strong Corporate and Transactional practice. Over the years, the firm has developed a solid client base composed of local and international companies, investment structures and financial actors; advising them on sophisticated Corporate/M&A and broader business law matters.
The firm is led by highly experienced Partners with backgrounds in recognized international law firms, bringing together strong technical expertise with a much more direct way of working. With a team of around 10 professionals, lawyers are not separated from clients or transactions by several layers of hierarchy: they work closely with the Partners, communicate directly with clients and remain involved throughout the different stages of their matters.
The scope of the practice is also broader than a purely corporate boutique. Depending on the matters, lawyers may gain exposure to M&A, investment structures, financing, private equity and other transactional or regulatory aspects, offering Senior Associates the opportunity to develop a comprehensive understanding of their clients' businesses rather than focusing on one isolated part of a transaction.
For this reason, the firm is now looking for a Senior Corporate Lawyer with around five years of experience in Luxembourg who is already comfortable handling matters independently. You will be expected to take genuine ownership of your files, maintain direct client relationships and work closely with the Partners on technically demanding and strategic assignments.
Your Responsibilities | Corporate – M&A – Transactions
- Advise local and international clients on Corporate and M&A transactions, from initial structuring through to completion.
- Draft, review and negotiate transaction documents while ensuring compliance with Luxembourg corporate law.
- Handle corporate reorganisations, acquisitions, disposals and other strategic matters involving Luxembourg entities.
- Coordinate directly with clients, external counsel and other stakeholders involved in transactions.
- Manage your matters with a high degree of autonomy while working closely with the Partners on key legal and strategic points.
- Follow transactions from beginning to end, giving you a comprehensive understanding of both the legal and commercial aspects of each matter.
- Contribute to the preparation and review of corporate documentation linked to investment structures and financial vehicles.
- Support more junior lawyers when appropriate and contribute to the technical development of the team.
Profile and Career Path | Corporate – M&A – Transactions
- You have at least five years of experience as a Corporate Lawyer in Luxembourg.
- You have developed solid expertise in Corporate law and a good understanding of transactional and M&A matters.
- You are able to manage files independently and take ownership of deadlines, client communication and transaction coordination.
- You are fluent in French and English, both written and spoken.
- You possess strong drafting and analytical skills and are comfortable dealing with technically demanding matters.
- You value direct communication and appreciate working within a structure with limited layers of hierarchy.
- You are looking for a position where your contribution is visible and where you can progressively take on broader responsibilities.
- You are comfortable interacting directly with clients and providing practical, business-oriented legal advice.
